Terms and Conditions

PLEASE READ CAREFULLY. BY REGISTERING FOR A CHARGEBEE EVENT (THE “EVENT”), YOU ACCEPT THESE TERMS AND CONDITIONS (THIS "AGREEMENT"). THIS AGREEMENT HAS LEGAL CONSEQUENCES AND WILL AFFECT YOUR LEGAL RIGHTS AND ABILITY TO BRING FUTURE LEGAL ACTIONS.

This Agreement forms a contract between You and Chargebee Inc. (referred to as “Chargebee”, “Us”, "We", "Our") and, in the case of an in-person Event, governs Your right to enter and remain at the premises (the "Venue") hosting the Event. In the case of an online Event (“Webinar”), this Agreement governs your right to access the Webinar. By submitting Your registration to the Event, You are agreeing to be bound by this Agreement. In the event of a conflict between this Agreement and Our Privacy Notice, this Agreement shall prevail. If You are registering for an Event on behalf of an organization or colleagues, You are agreeing to this Agreement on behalf of that organization or those colleagues, and in this Agreement, "You" or "Your" refers to that organization or those colleagues. If You do not have such authority, or if You do not agree with the terms of this Agreement, You must not submit Your registration to the Event. In this Agreement, You and We are individually referred to as a "Party" and collectively as "Parties". You, as an individual, are referred to as “Entrant” and must be eighteen (18) years or older to submit Your registration to the Event.

Unless otherwise indicated, Chargebee owns or licenses the copyright to the Event content (whether the content is delivered in-person or by Webinar) and any other intellectual property rights to the Event content presented. Some of the Event content may be owned by individual presenters and, under such circumstances, would be included in the Event under a license or agreement. Event content and recordings are to be viewed by You only. You are not permitted to record, reproduce, or share the Event content with any third party. A copy of the Event materials may be available to You before, during or after the Event and is for Your personal/non-commercial use only. Any breach of copyright or other intellectual property rights, including recording the presentation or any unauthorized use of the Event content may lead to legal action.

FOR IN-PERSON EVENTS, THE TERMS AND CONDITIONS IN THIS AGREEMENT ARE IN ADDITION TO ANY TERMS AND CONDITIONS ESTABLISHED BY THE VENUE. Entrant hereby expressly waives and releases any and all claims, now known or hereafter known, against Chargebee, and its officers, directors, manager(s), employees, agents, affiliates, shareholders/members, successors, and assigns (collectively, "Chargebee Parties").

  1. ADMITTANCE. In its sole discretion and without refund where applicable, Chargebee reserves the right to refuse admittance to or expel from an Event anyone that it determines is behaving in a manner that could be disruptive to the Event or poses any danger to any other Event attendee(s). Entrant consents and agrees that in such a scenario, they shall not be entitled to a refund of any portion of amounts paid if applicable. Breach of any of the terms herein shall entitle Chargebee to all available legal remedies.

  2. ASSUMPTION OF RISKS, HAZARDS AND DANGERS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ENTRANT HEREBY FULLY UNDERSTANDS AND KNOWINGLY, VOLUNTARILY AND IRREVOCABLY, ASSUMES ALL RISKS, HAZARDS AND DANGERS RELATED TO ENTRY INTO, AND PRESENCE IN, AT AND AROUND THE VENUE OF AN IN-PERSON EVENT, WHICH MAY INCLUDE AN INCREASED RISK OF EXPOSURE TO COMMUNICABLE DISEASES (INCLUDING, WITHOUT LIMITATION, COVID-19), VIRUSES, BACTERIA OR ILLNESSES OR THE CAUSE THEREOF, SICKNESS, PERSONAL INJURY, DISABILITY, OTHER SHORT-TERM OR LONG-TERM HEALTH EFFECTS, AND/OR DEATH. ENTRANT HEREBY ACCEPTS PERSONAL RESPONSIBILITY FOR YOUR VOLUNTARY ATTENDANCE AT THE EVENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ENTRANT HEREBY ASSUMES ALL RESPONSIBILITY OF CLAIMS AND POTENTIAL CLAIMS RELATING TO THE RISK, HAZARDS AND DANGERS DESCRIBED IN THIS AGREEMENT.

  3. RELEASE AND WAIVER. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ENTRANT HEREBY ACKNOWLEDGES AND KNOWINGLY, VOLUNTARILY, IRREVOCABLY, AND FOREVER RELEASES, WAIVES, AND DISCHARGES, EACH OF THE CHARGEBEE PARTIES WITH RESPECT TO ANY AND ALL CLAIMS THAT ENTRANT MAY HAVE (OR HEREINAFTER ACCRUE) AGAINST ANY OF THE CHARGEBEE PARTIES, INCLUDING WITHOUT LIMITATION, ANY AND ALL CLAIMS THAT ARISE OUT OF OR RELATE IN ANY WAY TO ENTRANT’S EXPOSURE TO COVID-19 (COLLECTIVELY, THE "CLAIMS"), IN EACH CASE WHETHER CAUSED BY ANY ACTION OR INACTION OF ANY OF THE CHARGEBEE PARTIES.

  4. LIMITATIONS ON ASSUMPTION OF RISK AND RELEASE OF LIABILITY. FOR THE AVOIDANCE OF DOUBT, NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN (INCLUDING THE ABOVE SECTIONS 2 AND 3), THIS AGREEMENT DOES NOT RELEASE LIABILITY WITH RESPECT TO OR EXTEND TO CLAIMS THE LAWS OF THE LOCATION WHERE THE IN-PERSON EVENT TAKES PLACE DO NOT PERMIT TO BE RELEASED OR WAIVED BY AGREEMENT, INCLUDING LIABILITIES ARISING FROM GROSS NEGLIGENCE, RECKLESS CONDUCT, WILLFUL/WANTON CONDUCT, OR INTENTIONAL ACTS.

  5. SAFETY PROTOCOLS. Entrant’s admission to the Venue and attendance at an in-person Event is subject to any health and safety policies, assessments, precautions and/or protocols put in place by local, state and federal governmental agencies, the Venue owner/operator, and/or by Chargebee and/or third parties, including requirements relating to face masks and/or enhanced health screenings (which may include a requirement that Entrant, and any person in Entrant’s party, be tested for COVID-19 prior to or during an Event and/or provide proof of vaccination against COVID-19) the “Safety Protocols”. Entrant acknowledges and agrees to comply with the Safety Protocols as they may be required. Failure to comply with Safety Protocols shall automatically terminate any rights that Entrant may have hereunder; and shall authorize the Venue owner/operator and/or Chargebee (or their respective personnel) to refuse admission to the Venue, or eject Entrant from the Venue and Event, without refund in each case. Entrant acknowledges that the Safety Protocols are not diagnostic and do not eliminate the risk of exposure to COVID-19.

  6. INSURANCE. It is the sole responsibility of Entrant to arrange any insurance appropriate or necessary in connection with their attendance at an Event.

  7. PAYMENT. By registering for an Event with a registration fee (which may be either in-person or Webinar), Entrant warrants that they have the authority to authorize charges to the credit card or other method of payment, as applicable. Entrant understands and agrees that Chargebee is not liable, in any way, for erroneous bill statements or incorrect charges and that should an error occur in billing or debiting, Chargebee’s only responsibility is to correct such error when and if Chargebee receives written notice of such error. Entrant will be required to ensure that full payment is received by Chargebee prior to the Event date. If Entrant’s full payment has not been received before the Event, a credit card payment will be required at the time of check in. Only one discount at a time can be applied to Entrant’s Event registration fee. If Entrant is using a discount code, the discount will be deducted from the current online price of the ticket. All prices displayed are exclusive of VAT unless otherwise stated. VAT will be charged, where applicable, at the prevailing rate on the invoice date, and the relevant details will appear on the invoice.

  8. EVENT AMENDMENTS AND DISCLAIMER. Chargebee, and any other party involved in the organization of the Event (whether in-person or Webinar), reserves the right to make changes to the agenda, format, speakers, location and any other aspect of the Event without notice and without liability. Chargebee makes no representations or warranties with respect to the Event and its content, and shall not be liable for the Event content, quality of presentation, or if learning outcomes did not meet Your expectations. Views or opinions expressed or information otherwise shared by any attendee, speaker, exhibitor or sponsor at the Event are their own. Chargebee shall have no liability for advice given, or views expressed, by any attendee, speaker, exhibitor or sponsor at an Event or in any material provided to attendees. Furthermore, Event materials may contain links to other websites over which Chargebee has no control. Chargebee makes no representations about the accuracy of the information contained on those websites and shall not be liable for the content on those websites.

  9. PUBLICITY, RECORDING, AND LIVE-STREAMING. Chargebee may photograph, audio record, video record, and/or live-stream (or “webcast”) any sessions or activities at an Event (whether in-person or Webinar). By attending an in-person Event, You acknowledge and agree to the following:

    • Notice of Live-Streaming and Recording: You are aware that portions of the Event, including but not limited to keynote sessions, breakout sessions, and public common areas (“Designated Areas”), may be photographed, recorded, and/or broadcast live on the internet to a remote audience.

    • On-site Notification: Chargebee will use reasonable efforts to provide on-site notification, such as physical signage, in Designated Areas where active photography, recording or live-streaming is planned.

    • Consent by Presence: Your attendance at the Event and presence in any Designated Area constitutes Your irrevocable consent, license, and release to be photographed, recorded, live-streamed, and to have Your image, likeness, voice, and statements captured, used, reproduced, broadcast, and distributed by Chargebee in any and all media (now known or hereafter devised), worldwide, in perpetuity, for any purpose, including but not limited to marketing, sales, publicity, education, or otherwise, without any further authorization from or compensation to You. By joining a Webinar, You automatically consent to such recordings and to the use of any materials, questions, or comments You may submit. Chargebee reserves the exclusive right to use any photographs, videos, live-stream footage, and other visual or audio recordings, electronic images or publicity material received by or obtained by Chargebee in the course of the Event, at Chargebee’s sole discretion. Chargebee has the exclusive right to include photographic, video and other visual or auditory portrayals of attendees, speakers, sponsors, and exhibitors (including their content), in any medium of any nature whatsoever for the purpose of marketing, sales, publicity or otherwise, without compensation to the attendee, speaker, sponsor or exhibitor, and all rights, title and interest bearing (including all worldwide copyrights therein) will be Chargebee’s sole property, free of any claims of attendee, speaker, exhibitor or sponsor or any persons deriving any rights or interest from the attendee, speaker, exhibitor or sponsor.

  10. PERSONAL INFORMATION. By submitting registration details, Entrant agrees to allow Chargebee to process all personal information provided in such registration in accordance with Chargebee’s Privacy Notice (available at https://www.chargebee.com/en/privacy/). Entrant agrees and acknowledges that any personal information submitted to Chargebee by Entrant in connection with the Event (whether in-person or Webinar) may be shared with (a) affiliates of Chargebee; (b) third parties sponsoring or otherwise contributing to the Event including parties providing services for or at the Event; and (c) government entities and regulatory authorities as required by law. Entrant consents to their details being shared with such parties and agrees and acknowledges that such parties may contact Entrant in the future. All processing of personal information set forth in this section is subject to applicable data protection legislation. The use of Entrant’s personal information by third parties is outside of Chargebee’s control and, to the extent permitted by applicable law, Chargebee does not accept any liability in this regard.

    For in-person Events where badge scanners or QR codes are used, by allowing your badge to be scanned by an exhibitor/sponsor/partner, or on entry to a sponsored session, or by scanning a QR code on an exhibitor's stand, You will be consenting to provide that exhibitor/sponsor/partner with Your personal data (as disclosed when registering). The exhibitor/sponsor/partner may then contact You about their products or services and You will need to opt out with them directly. If You do not wish to permit the uses and disclosures of information as described, do not scan Your badge or allow any Event exhibitor/sponsor/partner or third party to scan Your badge at an Event.

  11. CANCELLATION POLICY. Once an Entrant registers for the Event (whether in-person or Webinar), there will be no cancellations and refunds allowed, if applicable; however, Entrant may transfer their registration to another individual without any charge, provided that any such individual will be bound by these terms and conditions. If the Event is postponed, Entrant’s registration will automatically roll over to the new date and platform. If the Event is canceled, Entrant will automatically be given a future credit (valid for 12 months from issue) for another event or equivalent product/service of Entrant’s choice. Entrant may request a refund in connection with the postponement or cancellation of the Event within one month following such postponement or cancellation. Chargebee shall not be liable to attendee for any damages, costs, or losses incurred, such as transportation costs, accommodations costs, or financial losses. Entrants are responsible for obtaining the appropriate travel insurance to cover themselves with respect to such eventualities.

  12. FORCE MAJEURE. Chargebee shall not be held responsible or liable for any delay or failure in performance of its obligations hereunder (including the holding or hosting of an Event, whether in-person or Webinar) to the extent such delay or failure is caused by (i) storm, flood, fire, earthquake or other acts of God; (ii) war, invasion, hostilities, terrorist threats or acts, riot, or other civil unrest or violence; (iii) any disease, epidemic or pandemic, including novel coronavirus COVID-19 (together with any mutation, adaptation, or variation thereof), (iv) embargoes or blockades; (v) national or regional emergency; (vi) strikes, labor stoppages, or slowdowns or other industrial disturbances; (vii) any order or guidance from any governmental or quasi-governmental organization, including without limitation in regard to travel, public gatherings, or health and safety; (viii) disruptions in supply chains, hotel inventory, commercial air travel or other public transportation; (ix) failure of carriers or utilities or equipment beyond Chargebee’s reasonable control; (x) unavailability of the venue through no fault of Chargebee; or (xi) other similar causes beyond the reasonable control of Chargebee. In any such event, Chargebee shall be entitled, but not obliged to, either provide alternative facilities or venue for the Event and/or reschedule the Event, without liability on the part of the Chargebee. If Chargebee is unable to reschedule or rearrange the Event, Chargebee may cancel the Event and Entrant will receive a future credit (valid for 12 months from issue) for another event or equivalent product/service of Your choice.

  13. GOVERNING LAW. Entrant hereby understands and agrees that this Agreement shall be governed by and construed in accordance with the laws of the State of New York, USA, without regard to conflict of laws principles. Entrant and Chargebee hereby consent to the jurisdiction of the state and federal courts located in that State.

  14. Entrant hereby agrees that if any provision or part thereof contained in this Agreement is declared illegal, unenforceable, or ineffective, such provision or part thereof shall be deemed severable, such that all other provisions contained in this Agreement shall remain valid and binding. All waivers of any provision of this Agreement must be made in writing and signed by Chargebee.

BY REGISTERING FOR AN EVENT (WHETHER IN-PERSON OR WEBINAR), YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD ALL OF THE TERMS OF THIS AGREEMENT.
